Terms of Service

The terms for shopping, running your store and using connected services on MarketVillage.

1. About these terms

These Terms of Service govern your use of MarketVillage websites, mobile and desktop applications, and connected services. MarketVillage is operated by Zijela ICT Ltd (“we”, “us”, “our”). By using the service, you agree to these terms. If you act for a business, you must have authority to do so.

Read these terms together with our Privacy Policy and any order-specific terms and charges shown before you confirm a transaction. Mandatory rights under applicable law remain protected.

2. Accounts and access

Provide accurate account and contact details, keep your credentials private, and notify us promptly of suspected unauthorised access. You must have legal capacity to enter the transactions you make, or the involvement of a parent, guardian or authorised representative where required.

Access depends on your assigned role and the store or account you are authorised to manage. Merchants must give staff appropriate permissions and remove access when it is no longer needed. Do not use another person's account or attempt to bypass security, session or payment controls.

3. Shopping and orders

MarketVillage helps you discover participating merchants, view their products, place orders and arrange pickup or delivery. The merchant identified on an order supplies the goods and is responsible for accurate listings, lawful products, stock, preparation and fulfilment. We provide the platform and help resolve service issues; this does not remove responsibilities we have under applicable law.

Review the merchant, items, quantities, total price, payment method and fulfilment details before confirming. Availability and prices can change before an order is confirmed. We or the merchant will contact you about an unavailable item or a material correction; substitutions or additional charges require your agreement. If an order cannot be fulfilled, any payment for unfulfilled goods must be addressed through the applicable refund process.

4. Payments and charges

Available payment methods and applicable charges are shown in the checkout or payment instruction. Payments are processed through the payment provider displayed for your transaction. Use the account, link and reference issued for that order, and do not share banking passwords, PINs or one-time passwords.

A screenshot or a message claiming payment is not payment verification. Payment status is checked against the relevant provider's records. If your bank shows a debit but the order is still unpaid, contact support with the reference before paying again.

Orders and payment actions initiated through connected AI agents must use the supported payment gateway. Cash sales cannot be created or confirmed through these agents. Separate cashier payment options remain subject to the options available in that app.

Any paid platform feature, subscription or other service charge must be disclosed before you accept it. These terms do not themselves authorise a new subscription or recurring charge.

5. Pickup, delivery and receiving goods

Provide an accurate delivery address, contact details and any necessary access instructions. For pickup, choose an available time and collect from the store identified on your order. Delivery and preparation estimates depend on stock, the merchant and delivery availability; contact the merchant or support if an order is delayed.

Delivery may be carried out by a platform rider, a merchant or a third-party rider arranged for the order. Review the delivery option and charge before confirming. Share a delivery or collection code only with the person completing the handover, after checking the goods. A code confirms the relevant handover; it is not proof that a bank transfer has settled.

Report missing, damaged, incorrect or undelivered items promptly with your order reference. Where applicable, see our Delivery Protection information. Nothing in the handover process removes your statutory rights concerning defective or incorrect goods.

6. Cancellations, returns and refunds

Contact the merchant or MarketVillage Support to request cancellation, return, replacement or a refund. Include your order reference and explain the issue. The remedy depends on the circumstances, the nature of the goods, the stage of fulfilment and your rights under applicable law. Any applicable product-specific return conditions must be disclosed before purchase and cannot override mandatory consumer rights.

We work with the merchant and payment provider to investigate payment and fulfilment issues. Refund processing time depends on the provider and your financial institution; support can help you follow up. These terms do not impose a blanket “no refunds” rule or require you to give up a lawful remedy.

7. Merchant and staff responsibilities

Merchants are responsible for the products they offer, their right to sell them, accurate descriptions and prices, applicable taxes, records, customer communication and compliance with relevant laws. Keep inventory, costs, selling prices and fulfilment information up to date. Do not list unlawful, counterfeit or misleading products.

Only upload customer information you are entitled to use and share for the requested service. Staff actions must stay within their assigned authority. Review and reconcile transactions, including offline records when synchronisation is restored.

Online listings, gateway payments and other features may require business documentation, approval and provider connection. Onboarding does not guarantee approval for every feature, financing, investment, a gift or a promotion. Separate eligibility rules and partner terms apply where offered. Analytics and suggestions are information to assist your decisions, not a promise of revenue, profit or credit.

8. Chat, AI assistants and connected apps

MarketVillage may provide conversational help and integrations with services such as ChatGPT. Responses can contain mistakes. Check product details, amounts, recipients and fulfilment choices before confirming a transaction, and check the recorded order or payment status afterwards.

Connecting an external assistant allows it to request information and actions within the permissions you grant. A connected service may receive information needed to answer your request, such as product, order or authorised business details. Its own terms and privacy policy also apply. Use the connection controls provided by that service to disconnect it and contact MarketVillage Support if you need help revoking access.

A request to explain a task is not permission to perform it. Actions that change your account or business data must follow the applicable authorisation and confirmation process. An assistant's statement alone is not proof that an order was placed, payment received or delivery completed. Do not put passwords, PINs or authentication codes into chat.

9. Acceptable use and content

Do not use MarketVillage for fraud, harassment, unlawful trading, unauthorised access, malicious software, interference with the service or collection of other users' information without authority. Do not manipulate payment, stock or transaction records.

You retain rights in content you upload. You grant us permission to host, process and display it as reasonably needed to operate the service you request, including displaying authorised product listings. You must have the rights needed to supply that content. MarketVillage branding, software and other platform materials remain owned by us or our licensors.

10. Availability, suspension and account closure

Features may be updated and services may be interrupted by maintenance, network failures or provider issues. We work to maintain availability but cannot promise uninterrupted operation.

We may restrict access where reasonably necessary to address security risks, fraud, unlawful use or a material breach of these terms. Where appropriate and legally permitted, we will explain the restriction and how to contact us about it. Restrictions do not remove obligations concerning existing payments, orders or lawful refunds.

You may stop using the service or request account deletion. Outstanding transactions and records that must be retained for legal, accounting or dispute purposes are handled as described in our Privacy Policy and applicable law.

11. Responsibility and your legal rights

Each party remains responsible for its own obligations under these terms and applicable law. We are not responsible for loss caused solely by inaccurate information you provide or actions outside our reasonable control, except where the law requires otherwise.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, or limits mandatory consumer protections, data-protection rights or remedies. There is no waiver of your right to complain to a competent regulator or seek relief from a court.

12. Changes, disputes and contact

These terms are governed by the laws of Nigeria, without removing mandatory protections applicable to you. Please contact us first so we can try to resolve an issue. You may also approach the appropriate regulator or a court with jurisdiction.

We may update these terms as the service changes. The updated version and effective date will be published here, and material changes will be communicated through an appropriate channel. Changes will not retrospectively remove rights attached to an existing transaction.
